ฟิทช์ ให้อันดับเครดิตโครงการหุ้นกู้ MTN ของบริษัท ลีสซิ่งไอซีบีซี(ไทย) ที่ AAA(tha)/F1+(tha)

 

      ฟิทช์ เรทติ้งส์ – กรุงเทพฯ – 20 พฤษภาคม 2563:บริษัท ฟิทช์ เรทติ้งส์ (ประเทศไทย) จำกัด ประกาศให้อันดับเครดิตภายในประเทศระยะยาวที่ ‘AAA (tha)’ และอันดับเครดิตภายในประเทศระยะสั้นที่ ‘F1+(tha)’ แก่โครงการหุ้นกู้Medium-Term Note (MTN) ของบริษัท ลีสซิ่งไอซีบีซี(ไทย) จำกัด หรือ ICBCTL (อันดับเครดิต ‘AAA (tha)’/ แนวโน้มอันดับเครดิตมีเสถียรภาพ/F1+(tha)) โดยโครงการหุ้นกู้ดังกล่าวจะมีจำนวนวงเงินต้น ณ ขณะใดขณะหนึ่งไม่เกิน 5 หมื่นล้านบาท (revolving)

      อันดับเครดิตของโครงการหุ้นกู้นี้จะใช้กับหุ้นกู้ไม่ด้อยสิทธิไม่มีหลักประกันที่ออกภายใต้โครงการเท่านั้น โดยโครงการหุ้นกู้ดังกล่าวไม่สามารถออกหุ้นกู้ประเภทด้อยสิทธิ ทั้งนี้ไม่ได้มีการรับรองว่าหุ้นกู้ชุดอื่นที่จะออกภายใต้โครงการหุ้นกู้ดังกล่าวจะได้รับการจัดอันดับเครดิต

ปัจจัยสนับสนุนอันดับเครดิต

      อันดับเครดิตของโครงการหุ้นกู้ MTN ของ ICBCTL สะท้อนถึงความเสี่ยงในเชิงเปรียบเทียบกับธนาคารหรือสถาบันการเงินอื่นที่ได้รับการจัดอันดับเครดิตเครดิตภายในประเทศจากฟิทช์ ฟิทช์เชื่อว่าโครงสร้างอันดับเครดิตของ ICBCTL ซึ่งพิจารณาจากปัจจัยสนับสนุน มีความสอดคล้องกับอันดับเครดิตที่แข็งแกร่งที่สุดในประเทศ โครงการหุ้นกู้ดังกล่าวได้รับการจัดอันดับเครดิตอยู่ในระดับเดียวกันกับอันดับเครดิตภายในประเทศระยะยาวและอันดับเครดิตภายในประเทศระยะสั้นของบริษัทที่ ‘AAA(tha)’ และ ‘F1+(tha)’ ตามลำดับ เนื่องจากหุ้นกู้ดังกล่าวเป็นภาระผูกพันที่ไม่ด้อยสิทธิและไม่มีหลักประกันของบริษัท

       อันดับเครดิตภายในประเทศของ ICBCTL อยู่ในระดับเดียวกับอันดับเครดิตของธนาคารแม่ซึ่งคือธนาคารไอซีบีซี (ไทย) จำกัด (มหาชน) หรือ ICBCT ( AAA(tha)/แนวโน้มอันดับเครดิตมีเสถียรภาพ/F1+(tha)) ซึ่งสะท้อนถึงมุมมองของฟิทช์ที่เชื่อว่ามีโอกาสสูงมากที่บริษัทจะได้รับการสนับสนุนจาก ICBCT ในกรณีที่มีความจำเป็น

               ฟิทช์ มองว่า ICBCTL มีสถานะเป็นบริษัทลูกหลัก (core subsidiary) ของ ICBCT โดย  ICBCTL มีบทบาทสำคัญในการสนับสนุน ICBCT ในธุรกิจเช่าซื้อ เช่าการเงิน และการซื้อสิทธิเรียกร้องในการรับชำระหนี้ ซึ่งธุรกิจดังกล่าวมีสัดส่วนรายได้คิดเป็น 38% ของรายได้รวมและกำไรสุทธิของ ICBCT ในปี 2562 นอกจากนี้ ICBCTLยังมีการเชื่อมโยงและผสานการดำเนินงานกับธนาคารแม่อย่างใกล้ชิดและใช้สัญญลักษณ์ทางการค้าร่วมกันกับธนาคารแม่  อีกทั้งธนาคารแม่เป็นผู้ถือหุ้นทั้งหมดในบริษัทและมีการให้ความสนับสนุนทางการเงินเพื่อการดำเนินงานตามปรกติมาอย่างต่อเนื่อง

ปัจจัยที่อาจมีผลต่ออันดับเครดิตในอนาคต

ปัจจัยที่อาจส่งผลกระทบเชิงบวกหรือส่งผลให้กิดการปรับเพิ่มอันดับเครดิต (ปัจจัยเดียวหรือหลายปัจจัยรวมกัน)

            อันดับเครดิตภายในประเทศ ของโครงการหุ้นกู้ MTN เป็นอันดับเครดิตที่อยู่ในระดับสูงสุด จึงไม่สามารถปรับเพิ่มอันดับเครดิตได้

ปัจจัยที่อาจส่งผลกระทบเชิงลบหรือส่งผลให้กิดการปรับลดอันดับเครดิต (ปัจจัยเดียวหรือหลายปัจจัยรวมกัน)

        อันดับเครดิตของโครงการหุ้นกู้ MTN จะได้รับการปรับลดอันดับเครดิตหากอันดับเครดิตภายในประเทศระยะยาวและอันดับเครดิตภายในประเทศระยะสั้นของ ICBCTL ถูกปรับลดอันดับเครดิต

        การลดลงของโอกาสในการให้การสนับสนุนของ ICBCT ต่อ ICBCTL อาจทำให้เกิดการปรับลดทั้งอันดับเครดิตภายในประเทศของ ICBCTL และอันดับเครดิตของโครงการหุ้นกู้ MTN ได้ อาทิเช่น การลดสัดส่วนการถือหุ้นลงต่ำกว่า 75%หรือความไม่ชัดเจนในการให้การสนับสนุนทางการเงิน หรือเหตุการณ์ใดก็ตามที่บ่งชี้ว่าโอกาสที่ธนาคารแม่จะให้การสนับสนุนแก่บริษัทลดลงอย่างมีนัยสำคัญอย่างไรก็ตามฟิทช์มองว่าเหตุการณ์ดังกล่าวไม่น่าจะเกิดขึ้นในระยะสั้น

Fitch Rates ICBCTL's MTN Programme at 'AAA(tha)'/'F1+(tha)'

       Fitch Ratings - Bangkok - 20 May 2020: Fitch Ratings (Thailand) has assigned ICBC (Thai) Leasing Company Limited's (ICBCTL, AAA(tha)/Stable/F1+(tha)) senior unsecured medium-term note (MTN) programme a National Long-Term Rating of 'AAA(tha)' and a National Short-Term Rating of 'F1+(tha)'. The MTN programme has a maximum issuance size of THB50 billion, and allows revolving issuances.

       The ratings of the MTN programme apply only to senior unsecured issues under the programme. The MTN programme does not permit the issuance of subordinated notes. There is no assurance that notes issued under the MTN programme will be assigned a rating.

KEY RATING DRIVERS

       ICBCTL's MTN programme reflects ICBCTL's relative risk positioning on our Thai National Ratings scale. Fitch believes that ICBCTL's support-driven profile is in line with the strongest credits in the country. The MTN programme is rated at the same level as the company's National Long-Term Rating of 'AAA(tha)' and National Short-Term Rating of 'F1+(tha)' as it constitutes unsecured and unsubordinated obligations of the issuer.

        The National Ratings of ICBCTL are the same as those of its parent, Industrial and Commercial Bank of China (Thai) Public Company Limited (ICBCT, AAA(tha)/Stable/F1+(tha)). This reflects Fitch's view of an extremely high probability that ICBCT would extend extraordinary support to ICBCTL, if needed.

       Fitch views ICBCTL as a core subsidiary of the bank given ICBCTL's important role in supporting the bank's hire purchase, finance lease and factoring business, which comprised 38% of ICBCT's total revenue and profit in 2019. Apart from that, ICBCTL is closely integrated and shares the same brand with its parent. The firm is also fully owned by ICBCT and continues to receive ordinary financial support from ICBCT.

RATING SENSITIVITIES

            Factors that could, individually or collectively, lead to positive rating action/upgrade:

               There is no upside to the MTN programme ratings as they are at the top-end of the scale.

               Factors that could, individually or collectively, lead to negative rating action/downgrade:

               The MTN programme ratings could be downgraded if ICBCTL's National Long-Term Rating and National Short-Term Rating were to be downgraded.

               A reduction in our perceived propensity of ICBCT to support ICBCTL could lead to a downgrade of the National Ratings on both ICBCTL and its senior debt. This may occur if ICBCT reduces its ownership to below 75%, withdraws its financial commitment, or undertakes actions indicating a materially lower propensity to provide support. However, Fitch believes these are unlikely to occur in the near term.
